Terms of Service

1. Acceptance of Terms

By accessing or using PickASlot ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service. You must be at least 18 years of age to use PickASlot. By using the Service, you represent and warrant that you meet this age requirement.

2. Service Description

PickASlot is an online scheduling platform that allows users to create booking pages, manage availability, accept bookings from guests, and optionally collect payments. The Service is operated by CMD CYBERSPACE SOFTWARE SOLUTIONS SRL, a company registered in Romania under CUI 46891247 ("we", "us", "our"). PickASlot integrates with Google Calendar, Microsoft Outlook, Zoom, Microsoft Teams, and Stripe to provide its core functionality.

3. Account Registration

To use PickASlot, you must sign in using a valid Google or Microsoft account. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. Each account is intended for use by a single individual. You agree to notify us immediately of any unauthorised use of your account.

4. Free and Pro Plans

PickASlot offers two tiers of service:

  • Free tier — 1 event type, up to 50 bookings per month, Google Meet and Microsoft Teams integration.
  • Pro tier — €10/month or €84/year. Includes unlimited event types, Zoom integration, Stripe payment collection, team scheduling, custom branding, and analytics.

New users may start with a 14-day free trial of the Pro plan. You may cancel your Pro subscription at any time; your access to Pro features will continue until the end of the current billing period. No further charges will be made after cancellation.

5. Payment Terms

Pro subscriptions are billed via Stripe. All prices are listed in EUR and exclude VAT where applicable. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

If you are not satisfied with the Pro plan, you may request a pro-rata refund within the first 14 days of your initial subscription. After this period, no refunds will be issued for partial billing periods.

For hosts who collect payments from guests via Stripe Connect, PickASlot charges zero platform fees — 100% of the payment (minus standard Stripe processing fees) goes directly to the host. You are solely responsible for any applicable taxes, duties, or levies arising from payments you receive through the Service.

6. Paid Bookings, Refunds & No-Show Policy

PickASlot facilitates the scheduling and payment process between hosts and guests. PickASlot is not a party to any meeting and bears no responsibility for the conduct, attendance, or quality of meetings arranged through the Service.

Host obligations: If you accept payments for meetings via Stripe Connect, you are solely responsible for attending the meeting and delivering the service described in your event type. Repeated failure to attend paid meetings (no-shows) constitutes a violation of these Terms.

Guest refunds: If a host fails to attend a paid meeting, the guest may request a refund directly from the host or file a payment dispute through Stripe. Since payments are processed via Stripe Connect and go directly to the host's account, PickASlot does not hold or process guest payment funds and cannot issue refunds on behalf of hosts.

Dispute resolution: Payment disputes between hosts and guests are handled through Stripe's standard dispute resolution process. PickASlot may provide booking records to assist in dispute resolution when required by law or Stripe's policies.

7. Host Trust & Enforcement

PickASlot is committed to maintaining a trustworthy platform for both hosts and guests. We monitor patterns of behaviour that may indicate misuse of the platform, including but not limited to:

  • Repeated no-shows for paid meetings
  • Multiple guest complaints or payment disputes
  • Creating misleading event types designed to collect payments without delivering the described service
  • Any other pattern of conduct that constitutes fraud or deception

Graduated enforcement: If we identify a pattern of misuse, we will take the following steps:

  1. Warning — We will notify you by email of the issue and request an explanation. You will have 7 days to respond.
  2. Feature restriction — If the behaviour continues or no satisfactory explanation is provided, we may restrict your ability to create paid event types and/or disconnect your Stripe Connect account. Your subscription and other features will remain active.
  3. Account suspension — For severe or repeated violations, we may suspend your account entirely. Suspended accounts will not receive a refund for the current billing period, as the suspension is a result of a Terms of Service violation.

You may appeal any enforcement action by contacting support@pickaslot.io within 14 days of the action. We will review your appeal and respond within 30 days.

8. User Obligations / Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Send spam, unsolicited messages, or bulk communications through the platform
  • Attempt to interfere with, disrupt, or compromise the integrity or security of the Service
  • Impersonate another person, entity, or organisation
  • Scrape, harvest, or collect data from other users' booking pages without authorisation
  • Violate or infringe upon the intellectual property or other rights of any third party
  • Upload, transmit, or distribute malware, viruses, or other harmful code

We reserve the right to suspend or terminate your account immediately if we reasonably determine that you have violated these obligations. Where possible, we will provide notice and an opportunity to remedy the violation before taking action.

9. Intellectual Property

PickASlot, its logo, branding, and all related materials are the property of CMD CYBERSPACE SOFTWARE SOLUTIONS SRL and are protected by applicable intellectual property laws. You may not use our trademarks or branding without prior written consent.

You retain all rights to the content you upload to or create within the Service. By using PickASlot, you grant us a limited, non-exclusive, worldwide licence to process, store, and display your content solely as necessary to provide the Service and as described in our Privacy Policy.

10. Data Protection

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Romanian data protection legislation. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.

Controller-Processor Relationship: With respect to guest booking data (e.g., names, email addresses, and booking details submitted by guests), the host (you) acts as the Data Controller and PickASlot acts as the Data Processor. We process guest data solely on your behalf and in accordance with your instructions as provided through the Service. With respect to your account data (e.g., your name, email, and account settings), CMD CYBERSPACE SOFTWARE SOLUTIONS SRL acts as the Data Controller.

Both parties agree to comply with their respective obligations under the GDPR. Upon request, we will enter into a Data Processing Agreement (DPA) with hosts who require one.

11. Third-Party Integrations

PickASlot integrates with third-party services including Google (Calendar, Meet), Microsoft (Outlook, Teams), Zoom, and Stripe. These services are governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party service. Outages, changes, or discontinuations of third-party services are beyond our control and do not constitute a breach of these Terms.

12. Service Availability

We strive to maintain high uptime and reliable access to the Service, but we do not guarantee 100% availability. We may perform scheduled maintenance from time to time and will endeavour to provide reasonable advance notice. We shall not be liable for service interruptions caused by factors beyond our reasonable control, including but not limited to internet outages, third-party service failures, natural disasters, or force majeure events.

13. Limitation of Liability

To the maximum extent permitted by applicable law, including Romanian law and EU consumer protection law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, CMD CYBERSPACE SOFTWARE SOLUTIONS SRL's total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

Nothing in these Terms shall limit our liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or wilful misconduct; (c) death or personal injury caused by our negligence; or (d) any other liability that cannot be excluded or limited under applicable Romanian or EU law.

14. Indemnification

You agree to indemnify, defend, and hold harmless CMD CYBERSPACE SOFTWARE SOLUTIONS SRL, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) content you upload or create through the Service; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

15. Termination

Either party may terminate this agreement at any time. You may delete your account at any time through your account settings; upon deletion, your personal data will be permanently removed in accordance with our Privacy Policy.

We may suspend or restrict your access to the Service immediately if we reasonably believe you have violated these Terms. Where practicable, we will provide notice and an opportunity to remedy the issue. We may also terminate your account for any reason by providing 30 days' written notice to the email address associated with your account.

16. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.

If you are a consumer based in the European Union, you may also make use of the EU Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr. This does not affect your right to bring proceedings before the competent courts of your place of residence as provided by applicable EU consumer protection law.

17. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via the email address associated with your account. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before they take effect.

18. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
